Aims and Objectives

Give the student the essentials of commercial law, including the theory of merchantability, and company law, namely the distinction between partnerships and companies.

 • Allow the student to explain certain situations of social life by using appropriate legal terminology.

 • Allow the student to analyze and understand the law.

 • Allow the student to analyze and understand the statutory provisions.

• Consider the social consequences that could generate turmoil in the life of a business.

1. Scope of commercial law and company law

 1.1. Introduction to Commercial Law: definition, sources, proof of business commitments, commercial courts.

 1.2. The theory of marketability: the concept of trade and commercial transactions.

1.3. Company law: definition, characteristics, formation, forms, operating rules, responsibility of different actors and bodies, end of life.

 2. The social upheavals of the life of a company

 1.1. Business Closings

1.2. Collective dismissal

 1.3. Assignment or transfer of business

 1.4. Legal or voluntary dissolution of the company.
